Our client is seeking a highly skilled and experienced Group Company Secretary to join their team. What you'll do:
As a Group Company Secretary, you will play a pivotal role in ensuring that our client's operations adhere to legal and regulatory frameworks. You will act as a trusted advisor to both executive and non-executive directors across multiple subsidiaries. Your responsibilities will include providing expert guidance on corporate governance and compliance matters, advising on statutory requirements, and leading the implementation of tailored board performance evaluations. You will also be responsible for devising procedures that assist directors in discharging their statutory duties effectively.

. Act as Company Secretary for principal regulated companies, main operating companies and other subsidiaries
. Ensure smooth operation of all relevant companies by providing expert guidance on corporate governance, compliance, and board-related matters
. Advise the board on statutory, regulatory and governance requirements while promoting high standards of corporate governance
. Provide end-to-end support for Non-Executive Directors including recruitment, induction, appointment, succession planning, training, fees and expenses
. Lead the implementation of board performance evaluations tailored to the needs of the company
. Ensure companies operate within legal and regulatory frameworks while advising the board on governance best practices
. Devise and implement procedures to help directors discharge their statutory duties under sections 171 to 177 of the Companies Act 2006

What you bring:
The ideal candidate for this Group Company Secretary position is a qualified solicitor or chartered secretary with extensive experience in UK company law and governance. You will bring proven leadership skills, with a track record of managing teams and delivering results under tight deadlines.
